Furthermore, we work closely with investment bankers, funds and family firms to structure private investment vehicles and plan private equity operations. Through our Private Clients practice we provide personalized legal advice to individual investors and families, particularly pertaining trust, succession and estate planning.

 

We provide legal counsel to private companies in commercial and corporate matters, including preparing and conducting their shareholder meetings, implementing adequate corporate governance mechanisms to the companies’ needs and preparing Private Shareholders’ Agreements.

 

Furthermore, we represent controlling blocks and minority shareholders in Shareholders’ Assemblies, as well as shareholders and Directors in cases of breach of fiduciary duties by company’s Officers and Directors.

 

Our Contract Law specialists have vast experience in the drafting, review and negotiation of complex contracts, including Joint Venture and other association agreements, construction and operation contracts in different modalities (turn-key, BOT, BOOT), and financing contracts both with private entities and multilateral agencies.

 

Our firm also customarily assists our clients in their commercial undertakings, including the negotiation, drafting and execution of sale, distribution and franchising contracts.
